Article I: Name and Purpose
Name: The North America AI Association
Purpose: To advance and promote the AI research, education, spanning from elementary levels to university and career training, technology industrialization, and responsible use of artificial intelligence for the benefit of society, by fostering collaboration among AI professionals, academics, and industry leaders. Our goal is to make AI accessible and useful for everyone, enhancing learning, collaboration, and innovation in the professional world.
Article II: Membership
Eligibility: Open to individuals and organizations with an interest in artificial intelligence.
Categories: Regular, Student, and Corporate.
Fees: $30 (regular membership), $15 (student membership), $100 (Corporate).
Rights and Responsibilities: Include voting in general meetings, eligibility to hold office, and participation in association events.
Dues: Structured annually, with rates varying by membership category.
Termination: Membership can be terminated for non-payment of dues or violation of the association's code of ethics.
Article III: Meetings of Members
Annual Meeting: Held once a year for the election of directors and other association business. Notice should be given at least 30 days in advance.
Special Meetings: Can be called by the Board or upon written request of 20% of members.
Quorum: 50% of members.
Voting: Each member has one vote, and decisions are made by a majority vote.
Article IV: Board of Directors
Composition: A board of 5 to 20 members.
Powers and Duties: Oversees the association's activities, financial health, and strategic direction.
Meetings: Held quarterly or as needed.
Quorum and Voting: A majority of board members constitutes a quorum.
Committees: Establishment of committees such as Executive, Finance, Education, Membership, etc.
Article V: Officers
Titles and Roles: President, Vice President, Secretary, Treasurer, etc.
Election and Term of Office: Elected annually by the Board of Directors.
Duties: Specific responsibilities of each office.
Vacancies: Filled by Board appointment.
Article VI: Financial Administration
Fiscal Year: Defined as January 1st to December 31st.
Budget: Approved annually by the Board.
Financial Reports: Prepared and presented quarterly to the Board.
Article VII: Amendments
Process: Amendments can be proposed by the Board and must be approved by a majority vote of the members.
Article VIII: Dissolution
Procedure: Requires a majority vote of the Board and members.
Asset Distribution: Assets to be distributed to another non-profit entity with a similar mission upon dissolution.
Article IX: Indemnification
Provision: Officers, directors, employees, and volunteers are indemnified against claims arising from their organizational activities.
Article X: Non-Discrimination
Statement: Commitment to non-discrimination on the basis of race, color, religion, gender, age, national origin, disability, or any other protected status.
